Buyer Agreement
Introduction
1.1 Purpose of the agreement
This Buyer Agreement ("Agreement") governs your use of the Cranxs platform ("Platform"), a two-sided online marketplace for cycling gear. The purpose of this Agreement is to outline the terms and conditions under which you, as a buyer, may use our services to purchase products from sellers on our Platform. This Agreement is designed to ensure a fair, safe, and enjoyable experience for all users of Cranxs.
1.2 Acceptance of Terms
By registering for an account, browsing the Platform, or making a purchase, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as our Privacy Policy and any other policies referenced herein. If you do not agree to these terms, you must not use the Cranxs platform.
We reserve the right to update or modify this Agreement at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of Cranxs after any such changes constitutes your acceptance of the new terms. It is your responsibility to review this Agreement periodically
1.3 Definitions
For the purpose of this Agreement, the following terms shall have the meanings as defined below:
- "Cranxs," "we," "us," or "our" refers to Cranxs Ltd., the company operating the Platform.
- "Platform" means the Cranxs website, mobile applications, and any other means through which we provide our services.
- "Buyer" or "you" refers to any individual or entity using the Platform to browse, purchase, or inquire about products.
- "Seller" means any individual or entity offering products for sale on the Platform.
- "Product" refers to any item listed for sale on the Platform.
- "Order" means a transaction between a Buyer and a Seller for the purchase of a Product.
- "Content" includes, but is not limited to, text, images, videos, reviews, and any other material uploaded to or displayed on the Platform.
- "Intellectual Property Rights" means all copyright, patents, utility models, trademarks, service marks, registered designs, moral rights, design rights, database rights, and any other intellectual property rights.
- "User Account" refers to the personal account created by a Buyer to access and use the Platform's services.
- "Buyer Protection Program" means the safeguards and processes put in place by Cranxs to protect Buyers in their transactions on the Platform.
By using the Cranxs platform, you affirm that you are of legal age to enter into this binding Agreement or, if you are not, that you have obtained parental or guardian consent to do so.
2. Account Registration and Management
2.1 Eligibility Requirements
To create an account and use the Cranxs platform, you must:
- Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
- Have the legal capacity to enter into a binding contract.
- Reside in a country where Cranxs operates and provides services.
- Provide accurate and complete information during the registration process.
- Not be prohibited from using the Platform under applicable laws or regulations.
2.2 Account Creation Process
To create a Cranxs account:
- Visit the Cranxs website or download the mobile app.
- Click on the "Sign Up" or "Create Account" button.
- Provide the required information, including your full name, email address, and a secure password.
- Verify your email address by clicking the link sent to your provided email.
- Complete your profile by adding additional information such as shipping address and preferred payment methods.
- Review and accept this Buyer Agreement, Privacy Policy, and other applicable terms.
2.3 Account Security Responsibilities
As a Cranxs account holder, you are responsible for:
- Maintaining the confidentiality of your account credentials
- Immediately notifying Cranxs of any unauthorised use of your account or any other security breach.
- Ensuring that you log out of your account at the end of each session, especially when using shared devices.
- Keeping your contact information and payment details up to date.
- Not sharing your account credentials with any third party.
Cranxs will not be liable for any loss or damage arising from your failure to comply with these security responsibilities.
2.4 Prohibited Account Activities
The following activities are strictly prohibited and may result in immediate account suspension or termination:
- Creating multiple accounts for the same individual or entity.
- Using the account of another user without permission.
- Providing false or misleading information during the registration process or at any other time.
- Using the Platform for any unlawful purpose or in violation of this Agreement.
- Attempting to gain unauthorised access to other user accounts or Cranxs systems.
- Engaging in any activity that disrupts or interferes with the Platform's functionality.
- Using automated systems or software to extract data from the Platform (scraping).
- Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.
- Selling, transferring, or sharing your account with any third party.
- Using the Platform to conduct fraudulent activities or transactions.
- Harassing, threatening, or intimidating other users of the Platform.
- Attempting to circumvent any security measures or features of the Platform.
Cranxs reserves the right to investigate and take appropriate legal action against anyone who violates these provisions, including without limitation, removing offending content, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.
By creating and maintaining an account on Cranxs, you agree to comply with these terms and acknowledge that failure to do so may result in the limitation, suspension, or termination of your account and access to the Platform.
3. Rules for Purchasing on the Platform
3.1 Browsing and selecting items
- Users can freely browse the Platform without an account, but must create an account to make purchases.
- Product listings include images, descriptions, prices, and seller information. Buyers are responsible for reviewing this information before making a purchase.
- Cranxs strives to ensure accurate listings but does not guarantee the accuracy of any product information.
- Use of search and filter functions is subject to availability and may be modified or improved over time.
3.3 Checkout process
- To initiate checkout, click the "Buy Now" button on a listing page.
- Prices and availability may change between clicking "Buy Now" and completing your purchase.
- You must be logged into your account to complete a purchase.
- Provide or select the required information:
- Shipping Address
- Shipping method (if both delivery and collection are available)
- Payment method
- Review your order details, including items, quantities, prices, shipping costs and total amount.
- Click payment button to submit your order and authorise payment.
3.4 Order Confirmation
- After placing an order, you will receive an on-screen confirmation and an email confirmation.
- The order confirmation is not a guarantee that the order will be fulfilled, as items may become unavailable.
- Sellers have a specified timeframe to accept and process your order.
- You can view your order status and details in your account dashboard.
3.5 Buyer's Responsibilities
- Provide accurate and complete information for shipping and billing.
- Ensure you have sufficient funds or credit to cover the purchase.
- Carefully review product listings, including descriptions, sizes, and compatibility, before purchasing.
- Communicate with sellers through the Platform's messaging system if you have questions.
- Track your order and be available to receive deliveries or arrange alternative delivery methods.
- Inspect received items promptly and report any issues within the specified timeframe.
- Leave honest and fair feedback for sellers after completing a transaction.
3.6 Prohibited purchasing activities
The following activities are strictly prohibited and may result in account suspension or termination:
- Using stolen credit cards, unauthorised payment methods, or engaging in any fraudulent payment activities.
- Manipulating prices or exploiting pricing errors.
- Purchasing items with the intent to resell them in violation of the seller's terms or applicable laws.
- Making false claims about orders to obtain refunds or additional items.
- Colluding with sellers to manipulate ratings or feedback.
- Using the Platform to launder money or engage in any illegal activities.
- Harassing or threatening sellers or other users of the Platform.
- Attempting to circumvent the Platform's systems or policies.
- Making excessive purchase attempts that may disrupt the Platform's operations.
- Using automated systems to make purchases without Cranxs' express permission.
- Sharing account access to make purchases on behalf of non-account holders.
Cranxs reserves the right to cancel any order, suspend or terminate any account, and/or report to relevant authorities if we suspect any prohibited activities or violations of this Agreement.
By using the Cranxs platform to make purchases, you agree to abide by these rules and acknowledge that failure to do so may result in consequences including, but not limited to, order cancellation, account suspension, and legal action where appropriate.
4. Payment Terms
4.1 Accepted payment methods
- Cranxs accepts the following payment methods:
- Credit cards (Visa, Mastercard, American Express)
- Debit cards
- Apple Pay
- Google Pay
- Available payment methods may vary depending on your location and the seller's preferences.
- You must have authorisation to use any payment method you select.
- Cranxs reserves the right to add or remove payment methods at any time.
4.2 Pricing and currency
- All prices on the Platform are listed in British Pounds (GBP) unless otherwise specified.
- For international buyers, an estimated price in your local currency may be displayed, but the transaction will be processed in GBP.
- Currency conversion rates are provided by our financial service providers and are subject to change.
- Prices for products are set by the sellers and may fluctuate based on market conditions or promotions.
- The total price of your order will include the item price, applicable taxes, and shipping fees.
4.3 Taxes and Duties
- For UK buyers, VAT (Value Added Tax) is included in the displayed prices where applicable.
- International buyers are responsible for any import duties, taxes, or fees levied by their local customs authorities.
- Cranxs is not responsible for calculating, collecting, reporting, or remitting any taxes for international sales.
- Buyers should consult with their local customs office for more information on potential additional costs.
4.4 Payment Processing
- When you place an order, you authorise Cranxs to charge the full amount to your chosen payment method.
- For certain high-value orders, a temporary authorisation hold may be placed on your payment method.
- Funds are typically transferred to the seller only after the order has been shipped or the return period has expired.
- Cranxs uses Stripe as our payment processing partner to ensure secure and efficient transactions.
4.5 Secure payment guarantee
- Cranxs employs industry-standard encryption and security measures to protect your payment information.
- We do not store your full credit card details on our servers. All sensitive payment data is handled by our secure payment processors.
- Cranxs is PCI DSS (Payment Card Industry Data Security Standard) compliant.
- You should never share your payment details with sellers or other users outside of the Platform's secure checkout process.
4.6 Billing Disputes
- If you notice any unauthorised charges or discrepancies in your billing, contact Cranxs customer support immediately.
- For disputes related to specific orders, first attempt to resolve the issue with the seller through the Platform's messaging system.
- If unable to resolve with the seller, you may open a dispute through your account dashboard within 60 days of the transaction date.
- Provide all relevant information and evidence to support your dispute claim.
- Cranxs will investigate the dispute and may request additional information from both the buyer and seller.
- Resolution of billing disputes will be in accordance with our Buyer Protection Program and applicable consumer protection laws.
- In cases of suspected fraud, Cranxs reserves the right to report the activity to relevant financial institutions and law enforcement agencies.
By making a purchase on Cranxs, you agree to these payment terms and authorise us to charge your chosen payment method. You also agree to resolve any payment disputes through the processes outlined in this Agreement.
Cranxs reserves the right to modify these payment terms at any time, with such changes becoming effective upon posting to the Platform.
5. Shipping and Delivery
5.1 Shipping methods and carriers
- Sellers are responsible for arranging shipping for their items.
- Available shipping methods may include:
- Standard delivery
- Express delivery
- Courier services
- Collection from seller
- Sellers may use various carriers, including but not limited to Royal Mail, DPD, Evri, Yodel, and UPS.
- The shipping options available for each item will be displayed during the checkout process.
- Some items may offer a "Collection" option, allowing buyers to pick up the item directly from the seller's location.
5.2 Delivery timeframes
- Estimated delivery times are provided by sellers and may vary based on the shipping method chosen and the buyer's location.
- Delivery timeframes typically include processing time (for the seller to prepare and ship the item) and transit time.
- Actual delivery times may be affected by factors outside the seller's or Cranxs' control, such as customs processing or unexpected carrier delays.
- For "Collection" options, the seller will provide information on available collection times and locations.
5.3 Tracking orders
- Sellers are required to provide tracking information when marking an order as dispatched, where applicable.
- Tracking information will be available in your account dashboard and will be sent to your registered email address.
- You can use this tracking information to monitor your package's progress through the carrier's website.
- For some local or untracked shipping methods, detailed tracking may not be available.
- If you choose the "Collection" option, you'll receive instructions on how and when to collect your item instead of tracking information.
5.4 International shipping considerations
- Not all sellers offer international shipping. Available shipping destinations will be listed on the product page.
- International orders may be subject to customs duties, taxes, and fees imposed by the destination country.
- Buyers are responsible for paying any additional customs charges upon delivery.
- International shipping may result in longer delivery times due to customs processing.
- Certain items may be prohibited from import in specific countries. Buyers are responsible for checking their local import regulations.
5.5 Buyer's responsibilities for delivery
- Provide accurate and complete shipping information during checkout.
- Ensure that someone is available to receive the package at the provided address, or make alternative arrangements if required.
- Monitor your order status and tracking information through your Cranxs account.
- Contact the seller through the Cranxs messaging system if you have any questions about shipping or delivery.
- For "Collection" options:
- Arrange collection within the timeframe specified by the seller
- Bring appropriate identification for collection
- Respect the seller's specified collection times and location
- Promptly report any issues with delivery to the seller.
- In case of failed delivery attempts, follow the carrier's instructions for redelivery or collection from a local depot.
- If you fail to collect an item or are unavailable for delivery resulting in a return to the seller, you may be responsible for additional shipping charges for redelivery.
Cranxs strives to ensure a smooth delivery process but is not responsible for delays or issues caused by shipping carriers or customs authorities. In the event of significant delays or lost packages, Cranxs will work with buyers and sellers to resolve the situation in accordance with our Buyer Protection Program.
By making a purchase on Cranxs, you agree to these shipping and delivery terms and acknowledge your responsibilities in ensuring successful delivery of your orders.
6. Return and Refund Policies
6.1 Eligibility for returns
- For purchases from business sellers:
- For new items, buyers have a 14-day "cooling-off" period from the day after receiving the item to return it for any reason, as per the Consumer Contracts Regulations 2013.
- For used items, returns are accepted if the item is not as described or faulty.
- For purchases from private sellers:
- Private sales are generally not covered by the Consumer Contracts Regulations.
- Returns are typically only accepted if the item is not as described or faulty.
- Items marked "For Parts or Not Working":
- These items are generally sold as-is and are not eligible for return unless significantly misdescribed.
- All items:
- Must be returned in the same condition as received, unless reporting a fault.
- Custom-made or personalised items are not eligible for return unless faulty.
- Hygiene-sensitive or safety items (e.g., helmets) are not returnable if unsealed, unless faulty.
6.2 Return process
- Initiate the return through your Cranxs account within the eligible timeframe.
- Clearly state the reason for the return.
- For eligible returns, the seller will provide return instructions and may offer a prepaid return label.
- Package the item securely, including all original accessories and documentation.
- Ship the item back to the seller using a tracked service.
- Upload proof of postage to your Cranxs account.
- The seller will inspect the returned item upon receipt.
6.3 Refund processing and timeframes
- Business sellers:
- Must refund the buyer within 14 days of receiving the returned item or proof that it was sent back, whichever is earlier.
- Refunds include the full price of the item and standard delivery costs.
- Private sellers:
- Should process refunds promptly upon receiving and verifying the returned item.
- Cranxs may intervene if the refund is not processed within a reasonable timeframe.
- All refunds:
- Will be issued to the original payment method used for the purchase.
- May take 3-5 business days to appear in the buyer's account, depending on the payment provider.
6.4 Exceptions to the return policy
- Items exempt from the 14-day cooling-off period (even for business sellers):
- Perishable goods
- Sealed audio, video, or computer software if unsealed
- Newspapers, periodicals, or magazines
- Betting, gaming or lottery services
- Items that cannot be returned due to hygiene reasons if unsealed, unless faulty.
- Items that have been used or installed, beyond what's necessary to check if they work properly.
- Services that have already been fully performed with the consumer's agreement.
6.5 Damaged or defective items
- If an item arrives damaged or is faulty:
- Contact the seller immediately through the Cranxs messaging system.
- Provide clear photos of the damage or description of the fault.
- Do not return the item until instructed by the seller or Cranxs.
- For items from business sellers:
- You have the right to reject faulty goods within 30 days and receive a full refund.
- After 30 days, you're entitled to a repair or replacement. If this isn't possible or successful, you can then claim a refund.
- For items from private sellers:
- The item must match the description provided.
- If significantly not as described or faulty, you may be eligible for a refund
- Must cover the cost of return shipping for damaged or faulty items.
- Are responsible for the item's condition until it reaches the buyer.
Additional notes:
- The Consumer Rights Act 2015 applies to all purchases from business sellers, providing protection for up to six years (five in Scotland).
- Buyers should check individual seller policies, as some may offer more generous return terms than the legal minimum.
- In cases of dispute, Cranxs will mediate between buyers and sellers, considering UK consumer law and platform policies.
- For high-value or complex disputes, Cranxs may recommend using an alternative dispute resolution (ADR) service.
- These policies do not affect your statutory rights as a consumer under UK law.
By making a purchase on Cranxs, you agree to these return and refund policies. Cranxs reserves the right to update these policies in line with changes in UK consumer law or platform requirements.
7. Cranxs Peace of Mind Guarantee
7.1 Coverage and eligibility
The Cranxs Peace of Mind Guarantee is designed to provide additional security when shopping on our platform. It covers:
- Items not received: When you don't receive your item.
- Items significantly not as described: When the item you receive is materially different from the seller's description.
- Damaged items: When an item arrives damaged due to inadequate packaging or mishandling during shipping.
- Counterfeit items: When you receive an item that is proven to be counterfeit.
To be eligible for the Cranxs Peace of Mind Guarantee
- The transaction must be completed entirely through the Cranxs platform.
- Your account must be in good standing.
- You must have made reasonable efforts to resolve the issue with the seller first.
- You must file a claim within 30 days of the estimated delivery date or within 7 days of receiving the item, whichever is later.
7.2 Filing a claim
To file a Cranxs Peace of Mind Guarantee claim:
- Go to your Cranxs account and navigate to the order in question.
- Click on "Problem with order" and select the appropriate reason for your claim.
- Provide a detailed description of the issue and any supporting evidence (e.g., photos, videos).
- Submit the claim through the platform.
- Respond promptly to any requests for additional information from Cranxs.
7.3 Resolution process
Once a claim is filed:
- The seller will be notified and given 3 business days to respond.
- If the seller resolves the issue directly with you, you can close the claim.
- If the issue remains unresolved, Cranxs will review the claim, including all evidence provided by both parties.
- Cranxs may request additional information or evidence from either party.
- A decision will typically be made within 10 business days of receiving all necessary information.
- If the claim is decided in your favor, you will receive a refund or replacement as appropriate.
- If the claim is decided in the seller's favor, no refund will be issued, and you may be provided with next steps or alternatives.
7.4 Limitations and exclusions
The Cranxs Peace of Mind Guarantee does not cover:
- Disputes over subjective issues such as fit, style, or color preference.
- Buyer's remorse or change of mind.
- Claims filed after the eligible timeframe has passed.
- Items picked up in person through the "Collection" option.
- Transactions completed outside of the Cranxs platform.
- Digital goods or services.
- Losses due to unauthorized account access (these are covered under our account security policies).
- Consequential losses or damages beyond the item's purchase price.
- Items prohibited under Cranxs policies or applicable laws.
- Disputes related to import duties or customs charges for international purchases.
- Claims where the buyer has already received a refund from the seller or through a chargeback.
Additional notes:
- Cranxs reserves the right to deny claims that appear fraudulent or abusive.
- In complex cases, Cranxs may extend the review period and may request additional documentation.
- For high-value disputes, Cranxs may require the return of the item to a specified address for inspection before issuing a refund.
- The Buyer Protection Program is provided by Cranxs and is separate from any protections offered by payment providers or consumer credit laws.
- Cranxs may update the terms of the Buyer Protection Program at any time, with changes effective upon posting to the platform.
By using the Cranxs platform, you agree to the terms of this Cranxs Peace of Mind Guarantee. This program is designed to complement, not replace, your statutory rights under UK consumer protection laws.
8. Product Listings and Descriptions
8.1 Accuracy of information
- Sellers are responsible for providing accurate, complete, and up-to-date information about their products.
- Product listings should include:
- Clear and accurate title
- Detailed description of the item's condition (new, used, for parts)
- Specifications (e.g., size, color, material, brand)
- Clear, recent photographs of the actual item
- Any defects or imperfections for used items
- Cranxs encourages sellers to disclose all relevant information that may affect a buyer's decision to purchase.
- While Cranxs makes efforts to ensure listing accuracy, we cannot guarantee that all information provided by sellers is completely error-free.
- Buyers are encouraged to carefully read all product information and ask sellers questions through the platform messaging system if anything is unclear.
- If you receive an item that significantly differs from its description, you may be eligible for return or refund under our Peace of Mind Guarantee.
8.2 Product availability
- Sellers are required to maintain accurate inventory levels and update listings promptly when items are sold out.
- In rare cases where an item becomes unavailable after you've placed an order, the seller must inform you promptly and cancel the order.
- Cranxs uses real-time inventory management where possible, but there may be occasional discrepancies, especially for high-demand items.
- If a seller repeatedly fails to maintain accurate inventory information, they may face penalties or account restrictions.
8.3 Pricing Errors
- Sellers are responsible for setting and maintaining accurate prices for their items.
- In the event of an obvious pricing error (e.g., a £1,000 bike listed for £10), Cranxs reserves the right to cancel orders placed at the incorrect price.
- If a pricing error is identified:
- The seller or Cranxs will contact you promptly to explain the situation.
- You will be given the option to purchase the item at the correct price or cancel the order for a full refund.
- Cranxs will review cases of frequent pricing errors and may take action against sellers who consistently misprice items.
- Price changes: Sellers may adjust prices at any time, but cannot change the price of an item after an order has been placed.
8.4 Product reviews and ratings
- Buyers are encouraged to leave honest and fair reviews of purchased products.
- Reviews should be based on personal experience with the product and should not contain:
- Offensive language or personal attacks
- Irrelevant information
- False statements
- Promotional content
- Star ratings should reflect your overall satisfaction with the product.
- Sellers are prohibited from manipulating reviews through incentives or coercion.
- Buyers must not attempt to extort sellers by threatening negative reviews.
- Cranxs reserves the right to remove reviews that violate our policies or appear fraudulent.
- If you receive a defective item, we encourage you to work with the seller to resolve the issue before leaving a review.
- Sellers may respond to reviews publicly, but must do so in a professional and constructive manner.
- Cranxs may use automated systems and human moderation to ensure the integrity of the review system.
- Aggregate ratings are calculated based on an algorithm that considers factors such as recency and verified purchases.
- Cranxs may display product ratings from external sources (e.g., manufacturer websites) in addition to platform reviews, clearly labeled as such.
By using the Cranxs platform, you agree to provide accurate information in listings (if you're a seller) and to use the review system responsibly (if you're a buyer). Cranxs is committed to maintaining the integrity of our product listings and review system to ensure a trustworthy shopping experience for all users.
9. Communication with Sellers
9.1 Messaging system rules
- All communication between buyers and sellers must take place through the Cranxs messaging system.
- The messaging system is designed to:
- Protect your privacy
- Maintain a record of communications
- Facilitate dispute resolution if needed
- When using the messaging system:
- Be courteous and professional in all communications
- Respond to messages in a timely manner
- Keep conversations relevant to the transaction or inquiry
- Messages should be in English or the language specified in the listing.
- You may use the messaging system to:
- Ask questions about items before purchasing
- Clarify details about an order
- Arrange collection for items with "Collection" option
- Discuss issues with received items
- Request additional information or photos
- Messages are monitored by automated systems for policy violations and may be reviewed by Cranxs staff if necessary.
- Cranxs may intervene in conversations if there are signs of dispute or policy violations.
- Message history is retained for a period of time after a transaction is completed to assist with any post-sale issues.
9.2 Prohibited communication activities
The following activities are strictly prohibited when using the Cranxs messaging system:
- Sharing personal contact information (e.g., phone numbers, email addresses, social media profiles) to take communication off-platform.
- Attempting to arrange payments outside of the Cranxs platform.
- Harassing, threatening, or using abusive language towards other users.
- Sending spam, unsolicited promotional material, or irrelevant messages.
- Impersonating other users, Cranxs staff, or any third party.
- Sharing links to external websites, except when directly relevant to the item or transaction (e.g., manufacturer's product page).
- Attempting to defraud or scam other users.
- Sharing content that infringes on intellectual property rights.
- Discussing illegal activities or the sale of prohibited items.
- Using the messaging system to recruit sellers or buyers for other platforms.
- Sharing personal information of third parties without their consent.
- Using automated systems or bots to send messages.
- Soliciting reviews or feedback in exchange for incentives.
- Making false claims about products or services.
- Pressuring buyers to complete a purchase or leave positive feedback.
- Using the messaging system for any purpose other than facilitating transactions on Cranxs.
Consequences of violating these rules may include:
- Removal of messages
- Restrictions on messaging privileges
- Suspension or termination of your Cranxs account
- Reporting to relevant authorities in cases of illegal activity
Cranxs reserves the right to review, monitor, and act upon any messages sent through our platform to ensure compliance with these rules and maintain a safe, fair environment for all users.
By using the Cranxs messaging system, you agree to abide by these communication rules and acknowledge that failure to do so may result in actions taken against your account.
10. Intellectual Property Rights
10.1 Respect for intellectual property
Buyers agree to respect the intellectual property rights of others, including sellers, the platform, and third parties. Buyers shall not use, reproduce, distribute, or create derivative works from any content or materials on the platform without proper authorisation or license from the rights holder.
10.2 Reporting infringement
If a Buyer believes that their intellectual property rights have been infringed on the platform, or if they become aware of any potential intellectual property infringement by other users, they should promptly report this to Cranxs using the designated reporting mechanism. Cranxs will investigate and take appropriate action in accordance with its intellectual property policies and applicable laws.
11. Privacy and Data Protection
11.1 Collection and use of personal information
Cranxs collects and processes personal information from Buyers in accordance with its Privacy Policy. By using the platform, Buyers consent to the collection, use, and processing of their personal information as described in the Privacy Policy. This may include, but is not limited to, contact details, transaction history, and browsing behavior on the platform.
11.2 Data security measures
Cranxs implements appropriate technical and organizational measures to protect Buyers' personal information against unauthorised or unlawful processing, accidental loss, destruction, or damage. However, Buyers acknowledge that no method of transmission over the internet or electronic storage is 100% secure, and Cranxs cannot guarantee absolute security.
11.3 Third-party sharing
Cranxs may share Buyers' personal information with third parties in certain circumstances, such as with sellers to facilitate transactions, with service providers who assist in platform operations, or as required by law. Any such sharing will be conducted in compliance with applicable data protection laws and as outlined in the Privacy Policy.
11.4 Buyer's rights regarding personal data
Buyers have certain rights regarding their personal data, including the right to access, correct, delete, or restrict the processing of their data. Buyers may also have the right to data portability and to object to certain types of data processing. To exercise these rights or for any questions about data processing, Buyers should contact Cranxs using the methods provided in the Privacy Policy.
12. Dispute Resolution
12.1 Buyer-seller dispute process
In the event of a dispute between a Buyer and a Seller, the parties are encouraged to first attempt to resolve the issue directly through Cranxs' messaging system. Both parties should communicate clearly and provide any relevant evidence to support their position.
12.2 Platform mediation
If the Buyer and Seller are unable to resolve the dispute independently, either party may request mediation through Cranxs. The platform will review the case and may offer a resolution based on the evidence provided and platform policies. Cranxs' decision in mediation is non-binding unless both parties agree to accept it.
12.3 Arbitration clause
If the dispute remains unresolved after attempting direct communication and platform mediation, either party may initiate binding arbitration. The arbitration shall be conducted in accordance with the rules of the London Court of International Arbitration. The arbitration shall take place in London, United Kingdom, and shall be conducted in the English language. The decision of the arbitrator shall be final and binding on both parties.
By agreeing to these terms, both Buyers and Sellers waive their right to a jury trial or to participate in a class action lawsuit regarding any disputes arising from or relating to their use of the Cranxs platform.
13. Platform Rules and Etiquette
13.1 Code of conduct
Buyers agree to adhere to the following code of conduct while using Cranxs:
- Treat all users with respect and courtesy.
- Communicate clearly and honestly in all interactions.
- Refrain from using abusive, offensive, or discriminatory language.
- Do not harass, threaten, or intimidate other users.
- Respect the privacy of other users and do not share their personal information without consent.
- Use the platform for its intended purpose of buying and selling cycling gear.
13.2 Feedback and ratings system
Cranxs maintains a feedback and ratings system to promote trust and transparency within the community. Buyers agree to:
- Provide honest and fair feedback about their transactions.
- Base ratings on actual experiences with sellers and products.
- Refrain from manipulating the feedback system or leaving false reviews.
- Address any issues with the seller before leaving negative feedback when possible.
- Understand that Cranxs reserves the right to remove feedback that violates platform policies.
13.3 Prohibited items and activities
Buyers must not engage in or attempt to engage in the following activities on Cranxs:
- Purchasing counterfeit, stolen, or illegal items.
- Engaging in fraudulent activities or misrepresenting products.
- Using the platform for any unlawful purpose.
- Attempting to circumvent platform fees or policies.
- Creating multiple accounts to abuse promotions or evade restrictions.
- Using automated systems or bots to interact with the platform without Cranxs' express permission.
- Engaging in any activity that disrupts or interferes with the proper functioning of the platform.
Cranxs reserves the right to suspend or terminate the account of any Buyer who violates these platform rules and etiquette guidelines.
14. Limitation of Liability
14.1 Platform's limitations of liability
- Cranxs provides the platform on an "as is" and "as available" basis. To the fullest extent permitted by law, Cranxs disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Cranxs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the platform;
- Any conduct or content of any third party on the platform;
- Any content obtained from the platform; and
- Unauthorised access, use, or alteration of your transmissions or content.
- In no event shall Cranxs' total liability to you for all damages, losses, and causes of action exceed the amount you have paid to Cranxs in the past six months, or £100, whichever is greater.
- Cranxs does not guarantee the quality, safety, or legality of items sold on the platform, nor the truth or accuracy of listings, Seller's content, or Seller's ability to sell items. Any legal claim related to an item you purchase must be brought directly against the Seller of the item.
14.2 Indemnification
You agree to indemnify, defend, and hold harmless Cranxs, its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of:
- Your breach of these Buyer Agreement terms or the documents they incorporate by reference;
- Your violation of any law or the rights of a third party; or
- Your use of the Cranxs platform.
This indemnification obligation will survive the termination of this agreement and your use of the Cranxs platform.
15. Modifications to the Agreement
15.1 Process for updating the agreement
Cranxs reserves the right to modify or update this Buyer Agreement at any time, at its sole discretion. Such modifications may be made to reflect changes in law, our services, or for other reasons deemed necessary by Cranxs.
15.2 Notification of changes
- When material changes are made to this agreement, Cranxs will provide notice to Buyers through one or more of the following methods:
- Sending an email to the address associated with the Buyer's account;
- Posting a notice on the Cranxs platform;
- Displaying a message when the Buyer logs into their account.
- The notice will include a summary of the key changes and the date when the updated agreement will take effect.
- Cranxs will provide this notice at least 30 days before the changes take effect, unless a shorter notice period is required by law or due to urgent platform needs.
15.3 Buyer's right to terminate if they do not agree with changes
- If a Buyer does not agree with the changes to the agreement, they have the right to terminate their account before the new terms take effect.
- To terminate the account, the Buyer must:
- Notify Cranxs of their intention to terminate via the designated method provided in the change notification;
- Complete any pending transactions;
- Settle any outstanding fees or payments.
- If a Buyer continues to use the Cranxs platform after the new terms have taken effect, this will constitute acceptance of the modified agreement.
- Termination of the account does not relieve the Buyer of any obligations that accrued before the effective date of termination or any obligations that by their nature should survive termination.
16. Termination
16.1 Voluntary account closure
- Buyers may voluntarily close their account at any time by following the account closure process provided on the Cranxs platform.
- Before closing the account, Buyers must:
- Complete any pending transactions
- Settle any outstanding fees or payments
- Cranxs will process the account closure request within a reasonable timeframe, typically within 30 days.
16.2 Involuntary termination conditions
Cranxs reserves the right to suspend or terminate a Buyer's account involuntarily under the following conditions:
- Violation of any terms in this Buyer Agreement
- Engaging in fraudulent or illegal activities
- Repeated negative feedback or complaints from Sellers
- Failure to pay fees or settle disputes
- Extended period of account inactivity
- Upon request by law enforcement or regulatory authorities
- If Cranxs believes, in its sole discretion, that the Buyer's actions may cause legal liability or financial loss to Cranxs, its users, or third parties
16.3 Effects of termination
Upon termination of a Buyer's account, whether voluntary or involuntary:
- The Buyer will lose access to their account and all associated services.
- Any pending transactions may be cancelled, subject to Cranxs' discretion.
- The Buyer's profile, listings, and other content may be removed from the platform.
- The Buyer remains liable for all obligations incurred before the date of termination, including payment obligations and completed transactions.
- Cranxs may retain the Buyer's information as required by law or for legitimate business purposes.
- Sections of this agreement that by their nature should survive termination will remain in effect, including but not limited to intellectual property rights, limitation of liability, and indemnification clauses.
- The Buyer may not re-register on the platform without explicit permission from Cranxs if their account was involuntarily terminated.
17. Governing Law and Jurisdiction
17.1 Applicable law
- This Buyer Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
- The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
17.2 Jurisdiction for legal proceedings
- Any dispute arising from or relating to this Buyer Agreement or the Buyer's use of the Cranxs platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- Notwithstanding the above, Cranxs reserves the right to bring proceedings in the courts of any other country where the Buyer resides or in which the Buyer's assets are located.
- The Buyer agrees to submit to the personal jurisdiction of the courts located within England and Wales for the purpose of litigating all such claims or disputes.
- This clause does not limit the right of either party to seek injunctive or other equitable relief from any court of competent jurisdiction.
- The Buyer waives any objection to jurisdiction and venue in the courts of England and Wales.
- If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be struck from the Agreement and the remaining provisions shall remain in full force and effect.
